Welcome to MDDPRO ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the MDDPRO platform, including our website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

The MDDPRO Platform is a B2B marketplace connecting healthcare providers, medical device manufacturers, distributors, and service providers for the purpose of facilitating business transactions in medical equipment and related services.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and authorized to represent a legitimate business entity to use this Platform. By registering, you represent and warrant that:

• You have the legal capacity to enter into binding contracts
• You are authorized to bind your organization to these Terms
• Your use of the Platform complies with all applicable laws and regulations
• All information provided during registration is accurate and complete

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use strong passwords and keep them secure
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities conducted through your account
• Not share your account credentials with third parties

3. Platform Services

3.1 Marketplace Services

MDDPRO provides a platform for:

• Listing and discovering medical devices and equipment
• Connecting buyers with manufacturers and distributors
• Facilitating procurement processes and RFQ management
• Hosting information about industry events and conferences
• Providing regulatory compliance information and resources

3.2 Role as Intermediary

MDDPRO acts solely as an intermediary platform. We do not:

• Manufacture, sell, or distribute medical devices
• Take ownership of products listed on the Platform
• Guarantee the quality, safety, or regulatory compliance of products
• Act as a party to transactions between buyers and sellers

4. User Obligations

4.1 Prohibited Activities

You agree not to:

• List counterfeit, illegal, or non-compliant medical devices
• Provide false or misleading information about products or services
• Engage in fraudulent transactions or misrepresent your business
• Violate any applicable laws, including healthcare and data protection regulations
• Infringe on intellectual property rights of others
• Use the Platform to spam, harass, or engage in unethical business practices
• Attempt to circumvent Platform fees or direct business off-platform to avoid payment

4.2 Regulatory Compliance

All users must comply with applicable medical device regulations, including:

• FDA regulations (for US-based transactions)
• EU Medical Device Regulation (MDR) and In Vitro Diagnostic Regulation (IVDR)
• ISO 13485 quality management standards
• Local regulatory requirements in your jurisdiction
• Export/import controls and licensing requirements

5. Product Listings and Transactions

5.1 Seller Responsibilities

Sellers must:

• Provide accurate product descriptions, specifications, and certifications
• Ensure products meet all regulatory requirements
• Maintain valid licenses and certifications for listed products
• Honor pricing and availability information displayed on the Platform
• Respond promptly to buyer inquiries and RFQs
• Fulfill orders according to agreed terms and timelines

5.2 Buyer Responsibilities

Buyers must:

• Conduct appropriate due diligence on sellers and products
• Verify regulatory compliance and certifications
• Ensure they have necessary licenses to purchase and use medical devices
• Make payments according to agreed terms
• Provide accurate delivery and specification requirements

5.3 Transaction Terms

All transactions are subject to separate agreements between buyers and sellers. MDDPRO facilitates connections but is not a party to these transactions. Buyers and sellers are responsible for:

• Negotiating and agreeing on price, payment terms, and delivery
• Creating appropriate purchase orders, invoices, and contracts
• Arranging shipping, insurance, and customs clearance
• Handling warranties, returns, and after-sales service
• Resolving disputes between themselves

6. Fees and Payments

MDDPRO charges subscription fees and transaction fees as outlined in our pricing plans. You agree to:

• Pay all applicable fees according to your subscription plan
• Provide valid payment information and keep it updated
• Accept that fees are non-refundable unless otherwise stated
• Pay any additional charges for premium features or services

7. Intellectual Property

7.1 Platform Content

All content on the Platform, including but not limited to text, graphics, logos, software, and design, is the property of MDDPRO or its licensors and is protected by copyright, trademark, and other intellectual property laws.

7.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant MDDPRO a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and promoting the Platform.

8. Disclaimers and Limitations of Liability

8.1 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT:

• The Platform will be uninterrupted or error-free
• Product information is accurate, complete, or current
• Transactions will be completed successfully
• Users are legitimate or trustworthy

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MDDPRO SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Issues arising from transactions between users
• Product defects, regulatory non-compliance, or safety issues
• Actions or omissions of third-party users

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless MDDPRO, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Product listings or transactions you engage in
• Infringement of any intellectual property or other rights

10. Dispute Resolution

10.1 User-to-User Disputes

MDDPRO is not responsible for resolving disputes between users. We may, at our discretion, provide mediation services, but we are not obligated to do so.

10.2 Arbitration

Any disputes between you and MDDPRO shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and shall take place in the jurisdiction where MDDPRO is headquartered.

11. Termination

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Misrepresent your business or products

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease, but these Terms will continue to apply to your past use of the Platform.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MDDPRO is headquartered, without regard to its conflict of law provisions.
